Long story short, AMA Superbike is the premier sportbike-racing discipline in the U.S. and they use factory bikes, tuned by their respective teams.

MotoGP is the premier world-class racing discipline (consisting of 125, 250 and 800cc classes, the latter of which is normally refered to as "GP class"). They race prototype bikes from the big 4 and Ducati, with others thrown in the mix from time to time (i.e. Kenny Robert's KR211V, which was just a modified Honda RC-211V).

I think the most obvious difference (or the one I would care about the most) is that Superbike runs the same bikes you can buy, only souped up in some ways. MotoGP runs bikes that are built specifically for racing, and you can't get them anywhere (Except for the uber expensive ducati)
